Terms of Use

These Terms of Use ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and RHUCE ("RHUCE", "we", "our", or "us"). By accessing or using RHUCE's websites, mobile applications, software, APIs, content distribution systems, or any other services (collectively, the "Services"), you agree to be bound by these Terms, together with RHUCE's Privacy Policy, Acceptable Use Policy, Community Guidelines, Cookie Policy, Intellectual Property Policy, Refund and Cancellation Policy, and other governance documents (collectively, the "Platform Policies").

If you do not agree with any provision of these Terms or the Platform Policies, you must cease use of the Services immediately.

1. Definitions

For clarity in these Terms:

  1. Account: A registered user account used to access Services.
  2. User Content: Any text, images, audio, video, code, portfolios, or other content uploaded or shared by Users.
  3. Creator: A User who posts or shares content for professional or public consumption.
  4. Subscriber: A User who subscribes to access Creator content or Services.
  5. Platform Policies: The suite of RHUCE governance documents referenced in these Terms.
  6. Service Providers: Third-party entities engaged to provide infrastructure, payment processing, analytics, or other services on RHUCE's behalf.
  7. AI Systems: Artificial intelligence, machine learning, automated moderation, recommendation, fraud detection, spam detection, content analysis, verification, ranking, and other automated technologies utilized by RHUCE in connection with the Services.
  8. Feedback: Suggestions, recommendations, comments, ideas, feature requests, improvements, or other submissions provided by Users relating to the Services.
  9. Third-Party Services: Services, applications, websites, payment processors, cloud providers, analytics providers, advertising providers, or other systems operated by parties other than RHUCE.

2. Eligibility

  1. Users must be 18 years or older to create an Account.
  2. Users under 18 are strictly prohibited from using RHUCE.
  3. By registering, you represent that all information provided is accurate, current, and complete.

3. Account Registration and Security

  1. You are responsible for maintaining the confidentiality of your account credentials.
  2. All activities under your Account are your responsibility.
  3. Unauthorized access or security breaches must be reported immediately to support@rhuce.com.
  4. RHUCE may suspend or terminate Accounts if false information is provided, multiple Accounts are created to bypass restrictions, or policy violations occur.

4. Nature of the Services

  1. RHUCE is a professional networking and creative collaboration platform facilitating profile building, skill showcasing, and subscription-based content access.
  2. RHUCE does not provide or endorse content, nor does it act as a party to agreements between Creators and Subscribers.
  3. Payments are processed via third-party gateways (e.g., PayStack, Stripe, or other approved providers). RHUCE is not responsible for disputes regarding content quality or third-party services.

5. Acceptable Use

Users shall comply with all applicable laws and the Platform Policies. Prohibited conduct includes but is not limited to:

  1. Uploading or sharing content that is illegal, defamatory, harmful, or infringes intellectual property rights.
  2. Impersonating others or creating multiple accounts for fraudulent purposes.
  3. Attempting unauthorized access to RHUCE systems or data.
  4. Exploiting, harassing, or endangering other Users.
  5. Circumventing security measures or engaging in automated scraping without explicit consent.

Violations may result in temporary suspension, permanent termination, or referral to law enforcement authorities.

6. User Content and Intellectual Property

6.1 Ownership

Users retain ownership of content they create, subject to rights granted to RHUCE for operational purposes.

6.2 License to RHUCE

By posting User Content, you grant RHUCE a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to host, store, reproduce, adapt, display, and promote content.

6.3 Third-Party Content

You must have proper rights or licenses for third-party content. Unauthorized use is prohibited.

6.4 AI-Generated Content

Explicit consent is required for any content using AI to replicate identifiable individuals or brands. Compliance with copyright and privacy laws is mandatory.

6.5 Takedown Requests

  1. RHUCE responds to intellectual property complaints per international copyright standards.
  2. Submissions require: identification of the protected work, description of infringement, contact information, and authority declaration.

6.6 Survival of Content Licence

  • The licence granted to RHUCE under Clause 6.2 shall survive suspension, deactivation, termination, or deletion of a User Account to the extent necessary for legal compliance, dispute resolution, protection of legitimate business interests, content previously shared with other Users, backup retention, security monitoring, archival purposes, and operational continuity.
  • Users acknowledge that content previously shared, reposted, downloaded, cached, indexed, archived, or otherwise interacted with by other Users may remain accessible after account deletion, subject to applicable laws and Platform Policies.

6.7 Licence to Other Users

  • Subject to the User's privacy settings and the functionality of the Services, Users grant other Users a limited, non-exclusive, non-transferable licence to access, view, interact with, share, and display User Content solely through the functionality provided by RHUCE.
  • Nothing in this clause transfers ownership of User Content to other Users.

6.8 Feedback

  • Where a User provides Feedback relating to the Services, the User grants RHUCE a perpetual, irrevocable, worldwide, royalty-free, transferable, sublicensable right to use, modify, implement, reproduce, distribute, commercialize, and otherwise exploit such Feedback without restriction, attribution, or compensation.
  • Users acknowledge that RHUCE may independently develop features, services, technologies, or improvements similar to or identical with Feedback provided by Users.

6.9 AI Systems

  • RHUCE may utilize AI Systems to support content moderation, fraud prevention, spam detection, content recommendations, user verification, platform security, trust and safety functions, analytics, performance optimization, and other operational activities.
  • Users acknowledge that AI Systems may review, classify, analyze, rank, recommend, restrict, or remove content in accordance with applicable laws, Platform Policies, and operational requirements.
  • RHUCE does not guarantee that AI Systems will operate without error and reserves the right to modify, suspend, improve, or replace such systems at any time.

7. Subscriptions and Payments

  1. Subscription terms are governed by RHUCE's Refund and Cancellation Policy.
  2. Users authorize recurring charges until cancellation.
  3. RHUCE is not responsible for subscription disputes between Creators and Subscribers.
  4. Payment failures may result in automatic suspension until resolved by the User.
  5. RHUCE does not guarantee any minimum income, subscriber growth, engagement level, audience reach, monetization opportunity, commercial success, or financial return arising from use of the Services. The visibility, discoverability, promotion, ranking, and monetization of Creator content may vary based on numerous factors, including user engagement, platform developments, content quality, compliance history, and business considerations.
  6. Where a payment, subscription fee, or other charge is reversed, disputed, refunded, cancelled, charged back, or otherwise invalidated, RHUCE reserves the right to investigate the transaction and take appropriate action, including suspension of access, withholding of payments, recovery of funds, cancellation of subscriptions, or termination of Accounts. Users agree to cooperate with reasonable investigations relating to payment disputes, fraud prevention, and chargeback claims.

8. Data Privacy and Security

  1. RHUCE processes personal data according to the Privacy Policy, Information Security Policy, and global regulations including NDPA, NDPR, GDPR, UK DPA, CCPA, and applicable laws in Users' jurisdictions.
  2. Users are responsible for secure account practices, including passwords and two-factor authentication.
  3. RHUCE implements encryption, SOC monitoring, Zero Trust architecture, and vendor risk management to ensure data protection.
  4. While RHUCE employs commercially reasonable security measures, no platform, network, system, software, transmission method, or storage solution can be guaranteed to be completely secure. Accordingly, RHUCE does not warrant that the Services will be free from unauthorized access, cyberattacks, malware, service interruptions, data loss, or other security incidents.

9. Content Moderation

  1. RHUCE reserves the right to remove content violating Terms or Platform Policies.
  2. Users may appeal via support@rhuce.com.
  3. Repeat or serious violations may result in permanent termination.

10. Advertising and Promotions

  1. All advertising or sponsored content must comply with the Advertising and Promotion Policy.
  2. Misrepresentation, undisclosed affiliations, or exploitation of vulnerable Users is strictly prohibited.
  3. The Services may contain links to, integrations with, or functionality provided by Third-Party Services. RHUCE does not own, control, supervise, endorse, or assume responsibility for Third-Party Services, including their content, privacy practices, security measures, availability, or performance. Users access and utilize Third-Party Services at their own risk and subject to the applicable terms and policies of such third parties.

11. Suspension and Termination

11.1 User-Initiated Cancellation

Users may cancel subscriptions at any time; access remains until the end of the billing cycle.

11.2 Creator-Initiated Cancellation

Creators who deactivate accounts trigger automatic cancellation for Subscribers; RHUCE is not responsible for content loss.

11.3 Platform-Initiated Enforcement Measures

RHUCE reserves the right, in its sole but reasonable discretion, to investigate, review, restrict, suspend, demonetize, remove content, reduce content visibility, revoke privileges, disable features, terminate Accounts, or take any other enforcement action where it reasonably believes that a User has violated these Terms, Platform Policies, applicable laws, security requirements, or the legitimate interests of RHUCE and its Users.

Such enforcement measures may be temporary or permanent and may be implemented without prior notice where immediate action is necessary to protect security, legal compliance, platform integrity, or user safety.

12. Disclaimers and Limitation of Liability

  1. Services are provided "as-is" and "as-available".
  2. RHUCE disclaims all warranties including merchantability, fitness for a particular purpose, and non-infringement.
  3. Maximum liability is limited to the total fees paid by the User in the six (6) months preceding a claim.
  4. RHUCE is not liable for indirect, incidental, or consequential damages.
  5. Users agree to defend, indemnify, and hold harmless RHUCE, its affiliates, officers, directors, employees, contractors, agents, licensors, successors, and assigns from and against any claims, liabilities, damages, losses, penalties, costs, expenses, or legal fees arising out of or relating to:
    1. User Content;
    2. violation of these Terms or Platform Policies;
    3. infringement of intellectual property rights;
    4. misuse of the Services;
    5. fraudulent, unlawful, or negligent conduct;
    6. violation of applicable laws; or
    7. disputes between Users and third parties.

The obligations contained in this clause shall survive termination of the User's Account and these Terms.

13. Governing Law and Dispute Resolution

  1. Governed by the laws of England and Wales and, where applicable, Nigeria.
  2. Disputes are subject to exclusive jurisdiction of courts in London, UK, and Nigerian courts, unless arbitration is required.
  3. Payment disputes are governed by the Refund and Cancellation Policy.
  4. RHUCE reserves the right to assign, transfer, novate, or otherwise dispose of its rights and obligations under these Terms in connection with a merger, acquisition, restructuring, financing transaction, sale of assets, business transfer, or similar corporate transaction. Users acknowledge and agree that Accounts, subscriptions, User Content, and associated rights may be transferred as part of such transaction, subject to applicable laws and Platform Policies.

14. Force Majeure

  1. RHUCE is not liable for service disruptions due to events beyond its control, including cyberattacks, regulatory changes, natural disasters, or third-party payment failures.
  2. The provisions relating to intellectual property rights, licences, indemnification, limitations of liability, dispute resolution, payment obligations, privacy obligations, content ownership, enforcement actions, and any other provisions which by their nature are intended to survive shall remain in full force and effect following suspension, termination, cancellation, or expiration of these Terms.

15. Policy Updates

RHUCE reserves the right to amend, modify, supplement, replace, or update these Terms and the Platform Policies from time to time in response to legal developments, regulatory requirements, technological changes, security concerns, operational needs, or business considerations.

Material changes may be communicated through email, platform notifications, account notices, website publications, or other reasonable means.

Users are responsible for reviewing updated Terms periodically.

Unless otherwise stated, amendments shall become effective on the date specified in the relevant notice.

A User's continued access to, use of, interaction with, or maintenance of an Account following the effective date of an amendment shall constitute acknowledgement and acceptance of the revised Terms.

Where RHUCE determines that a particular amendment requires express acceptance, RHUCE may restrict access to some or all Services until such acceptance is obtained.

If a User does not agree with an amendment, the User's sole remedy shall be to discontinue use of the Services and close the Account.
